TERMS OF SERVICE

1. INTRODUCTION
These Terms of Service ("Terms") govern your access to and use of the SwapX platform, website, and related services (the "Service"). The Service is operated by ETNERA LTD, a private limited company incorporated under the laws of Cyprus, with its registered office at Neofytou Nikolaidi & Theodorou Kolokotroni, Onisiforou Center, 2nd Floor, Agios Theodoros, 8011 Paphos, Cyprus, registration number HE480731 ("SwapX", "we", "us", "our").
By accessing or using the Service, you confirm that you have read, understood, and agree to be legally bound by these Terms. If you do not agree to these Terms, you must not use the Service.
2. DEFINITIONS
For the purposes of these Terms:
- "Items" means virtual in-game items, including skins used in Counter-Strike 2, which may be transferred through Steam or other supported third-party systems.
- "User" or "you" means a natural person using the Service.
- "Steam" means the digital distribution and trading platform operated by Valve Corporation.
- "Transaction" means any transaction concluded through the Service, including:
- the sale of Items by the User to SwapX; and/or
- the purchase of Items by the User from SwapX.
- "Selling Mode" means the part of the Service through which the User sells Items directly to SwapX.
- "Store" or "Store Mode" means the part of the Service through which the User purchases Items directly from SwapX.
- "Trade Protection Period" means the period of eight (8) calendar days following acceptance of a Steam trade, during which the relevant trade may be subject to reversal, cancellation, restriction, or similar protective mechanisms available through Steam.
- "Business Day" means any day other than a Saturday, Sunday, or public holiday in Cyprus.
- "Selling Balance" means an internal ledger entry reflecting an amount that may become payable by SwapX to the User in connection with finalized sales of Items by the User to SwapX, subject to these Terms, including any applicable verification, reserves, reversals, offsets, suspensions, or compliance controls.
- "Store Balance" means a closed-loop, non-transferable internal digital credit recorded on the User's account solely for the purpose of purchasing Items from SwapX through the Store.
3. SCOPE AND NATURE OF THE SERVICE
3.1. SwapX acts as principal in Transactions conducted through the Service. When you sell Items through the Service, you sell them directly to SwapX. When you purchase Items through the Store, you purchase them directly from SwapX.
3.2. In relation to the Store, SwapX is not a peer-to-peer marketplace and does not act as a broker, agent, escrow provider, payment institution, electronic money institution, or bank.
3.3. The Service may operate in distinct modes:
- a) Selling Mode, under which the User sells Items to SwapX and may become entitled to payment reflected through a Selling Balance; and
- b) Store Mode, under which the User tops up Store Balance and uses it exclusively to purchase Items from SwapX.
3.4. Selling Balance and Store Balance are separate and independent mechanisms and are governed by different rules under these Terms.
3.5. Item transfers and related actions are executed through Steam and/or other third-party technical infrastructure used by the Service. SwapX is not affiliated with Valve Corporation or Steam.
3.6. Nothing in the Service shall be construed as:
- a) the provision of payment services;
- b) the issuance of electronic money;
- c) the operation of a payment account;
- d) the custodial holding or safeguarding of funds on behalf of the User; or
- e) banking or deposit-taking activity.
4. ELIGIBILITY
4.1. You must be at least 18 years old and have full legal capacity to enter into binding agreements in order to use the Service.
4.2. You may use the Service only where such use is lawful in your jurisdiction.
4.3. You are solely responsible for complying with all laws applicable to your use of the Service, including tax, reporting, and disclosure obligations.
4.4. SwapX may refuse, restrict, or terminate access to the Service in certain jurisdictions or where required by law, sanctions rules, internal risk policies, or compliance requirements.
5. USER ACCOUNT AND SECURITY
5.1. Access to the Service requires authentication via your Steam account or such other login method as SwapX may support from time to time.
5.2. You are solely responsible for:
- a) maintaining the security of your Steam account and any other access credentials;
- b) maintaining a valid and accurate trade link where required;
- c) ensuring that your Steam account, inventory, and settings permit the relevant Transactions; and
- d) all actions taken through your account.
5.3. SwapX shall not be liable for any loss arising from unauthorized access to your account, failure to maintain account security, or failure to maintain proper Steam settings or access.
5.4. SwapX may suspend, restrict, or terminate your account where fraud, misuse, sanctions exposure, payment abuse, compliance concerns, or technical or security risks are identified.
6. USER REPRESENTATIONS AND WARRANTIES
By using the Service, you represent and warrant that:
- 6.1. you are the lawful user and controller of the Items you transfer, offer for sale, or otherwise use through the Service;
- 6.2. the Items are not stolen, hacked, unlawfully obtained, encumbered, or subject to any third-party rights or claims;
- 6.3. the Items were not obtained through fraud, abuse, unauthorized access, or breach of Steam's terms or any other applicable rules;
- 6.4. you act on your own behalf and not on behalf of any undisclosed third party;
- 6.5. any payment method used by you is valid, lawfully controlled by you, and not used in breach of law or third-party rights; and
- 6.6. all information provided by you to SwapX is accurate, complete, and up to date.
7. SELLING MODE: TRANSACTION FLOW AND CONDITIONAL ITEM TRANSFER
7.1. A sale Transaction is initiated when you accept a trade offer and transfer Items to SwapX through Steam or another supported technical process.
7.2. The transfer of Items is conditional and remains subject to Steam's Trade Protection mechanisms, Steam rules, and other third-party operational factors.
7.3. During the Trade Protection Period:
- a) the User may initiate a reversal or similar action through Steam, where available;
- b) Steam or related systems may delay, restrict, reverse, or otherwise affect the transfer; and
- c) SwapX has no technical ability to fully control or prevent such third-party actions.
7.4. Until the Trade Protection Period has expired without reversal, restriction, or other material issue, the relevant Transaction shall be treated as pending.
7.5. A Transaction may be treated as finalized for payout purposes only after:
- a) expiration of the Trade Protection Period without reversal; and
- b) completion of any fraud, compliance, sanctions, or operational review reasonably required by SwapX.
8. SELLING BALANCE AND PAYOUTS
8.1. Selling Balance is an internal ledger record reflecting a contractual payment entitlement that may arise in favor of the User after a sale Transaction has been finalized in accordance with these Terms.
8.2. Selling Balance:
- a) is not a bank deposit;
- b) is not electronic money;
- c) is not a payment account;
- d) is not safeguarded, segregated, or insured;
- e) does not accrue interest; and
- f) may be subject to review, reserve, withholding, offset, suspension, or reversal.
8.3. SwapX's obligation to make a payout arises only after:
- a) expiration of the Trade Protection Period;
- b) confirmation that no reversal or disqualifying issue has occurred;
- c) completion of any required KYC, AML, sanctions, fraud, payment-method, or source-of-funds checks; and
- d) confirmation that no basis exists for withholding, reserve, set-off, or suspension.
8.4. Prior to that point, no payout obligation shall be due or payable.
8.5. Payouts, where approved, may be made only through payment methods made available by SwapX from time to time. Availability, timing, limits, fees, and eligibility may vary depending on the User, jurisdiction, provider, and risk profile.
8.6. SwapX may delay, suspend, condition, or refuse payouts where reasonably necessary due to:
- a) fraud or abuse risk;
- b) trade reversals or suspected reversals;
- c) chargebacks or payment disputes;
- d) incomplete, failed, or unsatisfactory verification;
- e) sanctions, AML, or compliance concerns;
- f) technical or provider-side issues; or
- g) legal or regulatory obligations.
8.7. If SwapX incurs or reasonably expects losses arising from reversals, fraud, chargebacks, policy violations, breaches of these Terms, or third-party claims, SwapX may:
- a) offset such amounts against Selling Balance;
- b) reduce or cancel pending payouts;
- c) suspend future payouts; and/or
- d) recover paid amounts through legal means.
9. USER-INITIATED REVERSALS
9.1. If the User initiates or causes a reversal during the Trade Protection Period, the relevant Transaction shall be deemed null and void and SwapX shall have no obligation to pay the User for that Transaction.
9.2. The User waives any claim against SwapX arising solely from a reversal initiated by the User or triggered through Steam or similar third-party mechanisms.
9.3. If a reversal or analogous event occurs after payout or after a Selling Balance entry has been recorded, whether due to Steam action, fraud review, technical issues, or other exceptional circumstances, SwapX may:
- a) reverse the relevant ledger entry;
- b) recover the paid amount;
- c) offset such amount against any current or future Selling Balance;
- d) suspend the User account; and/or
- e) pursue any other legal or contractual remedy available to it.
10. STORE MODE AND STORE BALANCE
10.1. The Service may allow Users to top up funds, which are then converted into Store Balance.
10.2. Store Balance:
- a) does not constitute money, electronic money, cryptocurrency, or a bank deposit;
- b) does not represent a claim against SwapX for repayment;
- c) is a limited, revocable, closed-loop right to use value within the Service;
- d) exists solely for the purchase of Items from SwapX through the Store; and
- e) has no value outside the Service.
10.3. Store Balance may be used exclusively to purchase Items from SwapX through the Store.
10.4. Store Balance cannot be:
- a) withdrawn;
- b) redeemed;
- c) transferred to another user;
- d) exchanged for fiat currency or cryptocurrency; or
- e) used outside the Service.
10.5. Store Balance does not accrue interest and is not safeguarded, segregated, insured, or held in trust for the User.
10.6. Store Balance is separate from Selling Balance. Amounts reflected as Store Balance do not create any payout right. Amounts reflected as Selling Balance do not become Store Balance unless SwapX expressly enables such functionality.
10.7. By topping up funds into Store Balance, the User expressly acknowledges and agrees that:
- a) the top-up is made solely in order to obtain Store Balance for use within the Store;
- b) Store Balance is non-withdrawable and non-redeemable; and
- c) no general right exists to receive a cash, bank, card, or crypto refund of unused Store Balance, except where mandatory law provides otherwise.
11. STORE TOP-UPS, REFUNDS, CHARGEBACKS, AND FRAUD
11.1. All top-ups resulting in Store Balance are final once successfully processed, except where mandatory law requires otherwise.
11.2. Refunds related to Store Balance top-ups may be granted only where required by law or, at SwapX's discretion, in limited cases such as:
- a) duplicate payments;
- b) technical errors resulting in incorrect balance allocation;
- c) unauthorized transactions confirmed by SwapX after review; or
- d) failure to credit Store Balance due to a confirmed technical issue.
11.3. Refunds shall not be granted for:
- a) voluntary top-ups;
- b) unused Store Balance;
- c) changes in Item prices, value, or availability;
- d) user dissatisfaction;
- e) delayed use of the Store; or
- f) account restrictions caused by the User's own actions or omissions.
11.4. If a User initiates a chargeback, payment dispute, unauthorized transaction claim, or similar reversal in relation to a top-up or Store purchase, SwapX may:
- a) suspend or terminate the User account;
- b) freeze or revoke Store Balance;
- c) cancel pending Transactions;
- d) reverse Store Balance entries;
- e) revoke access to Items where technically or legally possible;
- f) recover losses, fees, and damages; and/or
- g) report the matter to payment providers, fraud prevention systems, or competent authorities.
11.5. The User remains fully liable for any losses arising from the use of fraudulent, unauthorized, or unlawfully controlled payment methods.
11.6. SwapX may correct, adjust, cancel, freeze, reduce, or revoke Store Balance in cases of:
- a) technical error;
- b) pricing error;
- c) fraud or suspected fraud;
- d) chargeback exposure;
- e) sanctions or AML concerns; or
- f) legal or regulatory obligations.
12. PURCHASES IN THE STORE
12.1. In all Store Transactions, SwapX acts as the sole merchant of record and seller of the Items.
12.2. The Store does not operate as a peer-to-peer marketplace, broker, or intermediary between Users.
12.3. Inventory offered in the Store may be sourced by SwapX from third parties, including integrations, trading partners, or other supply channels. Regardless of how such inventory is sourced, the User purchases Items only from SwapX.
12.4. Prices in the Store are determined by SwapX at its sole discretion and may change at any time before completion of the purchase.
12.5. SwapX does not guarantee that Store prices reflect any external market price, expected value, or future resale value.
13. DIGITAL GOODS NATURE
13.1. Items made available through the Service are digital in-game goods existing solely within third-party ecosystems, including Steam.
13.2. Items do not constitute tangible property, bankable assets, investment products, or guaranteed financial instruments.
13.3. All Items remain subject to:
- a) Steam rules and policies;
- b) trade holds;
- c) inventory restrictions;
- d) account limitations;
- e) bans;
- f) third-party technical changes; and
- g) delisting, removal, modification, or restriction by the relevant third party.
13.4. SwapX makes no representation or warranty regarding:
- a) future value;
- b) liquidity;
- c) uninterrupted availability; or
- d) compatibility with future changes in Steam or related systems.
14. DELIVERY AND THIRD-PARTY PLATFORM DEPENDENCY
14.1. Delivery of Items and execution of related processes depend on Steam and other third-party systems and providers.
14.2. SwapX shall not be liable for delays, failures, reversals, restrictions, or losses caused by:
- a) Steam;
- b) trade holds;
- c) platform bans;
- d) account restrictions;
- e) API failures;
- f) payment provider outages;
- g) identity verification provider outages; or
- h) other third-party infrastructure failures or decisions.
14.3. SwapX may delay, withhold, cancel, or refuse fulfillment where reasonably necessary for technical, legal, compliance, security, or risk reasons.
15. KYC, AML, SANCTIONS, AND COMPLIANCE
15.1. SwapX applies a risk-based approach to KYC, AML, sanctions screening, fraud prevention, and compliance review.
15.2. SwapX may at any time require the User to provide:
- a) proof of identity;
- b) proof of address;
- c) source of funds or source of wealth information;
- d) proof of ownership of a payment method;
- e) bank, card, wallet, or transaction statements; and/or
- f) any other information or documentation reasonably required for compliance, risk, or operational review.
15.3. SwapX may restrict or deny access to the Service, Selling Balance, Store Balance, purchases, or payouts where the User:
- a) fails verification;
- b) provides inaccurate, incomplete, or misleading information;
- c) appears to be acting on behalf of a third party;
- d) is connected to a sanctioned or prohibited jurisdiction; or
- e) triggers fraud, AML, compliance, or risk alerts.
15.4. Use of VPNs, proxies, anonymization tools, or other location-obfuscation methods may be prohibited by SwapX.
16. PROHIBITED ACTIVITIES
You must not:
- a) use bots, scrapers, automation tools, or unauthorized scripts;
- b) exploit vulnerabilities, bugs, or pricing errors;
- c) engage in fraud, money laundering, sanctions evasion, or deceptive conduct;
- d) use stolen, hacked, or unlawfully obtained Steam accounts or Items;
- e) use false, third-party, or unauthorized payment methods;
- f) create multiple accounts to manipulate pricing, limits, or controls;
- g) abuse refunds, chargebacks, payouts, or verification processes;
- h) provide false or misleading information; or
- i) violate Steam rules or the rules of other third-party platforms connected with the Service.
17. RECORDS AND EVIDENCE
17.1. The User acknowledges that SwapX's records, logs, timestamps, transaction IDs, Steam trade confirmations, payment provider data, compliance tools, fraud systems, and internal monitoring data shall constitute prima facie evidence of Transactions, their timing, status, and related events, unless proven otherwise.
17.2. SwapX may rely on such records for the purposes of investigating disputes, chargebacks, fraud, compliance concerns, and enforcement of these Terms.
18. CONSUMER RIGHTS AND DIGITAL PERFORMANCE
18.1. To the extent permitted by applicable law, by initiating a sale Transaction, purchasing an Item, or topping up Store Balance, the User expressly requests immediate or prompt digital performance.
18.2. The User acknowledges that, where permitted by applicable law, any statutory right of withdrawal may be lost once performance has begun.
18.3. Nothing in these Terms shall limit any non-waivable consumer rights available under applicable law.
19. SUSPENSION AND TERMINATION
19.1. SwapX may suspend, restrict, or terminate access to the Service, including access to Selling Balance or Store Balance, if:
- a) a violation of these Terms is suspected;
- b) fraud, abuse, or chargeback risk is detected;
- c) required verification is not completed;
- d) legal, regulatory, sanctions, or provider requirements so require; or
- e) account security concerns arise.
19.2. During suspension, SwapX may block or limit:
- a) deposits and top-ups;
- b) purchases;
- c) item deliveries;
- d) access to Selling Balance or Store Balance;
- e) payouts; and/or
- f) any other service functionality.
19.3. Termination or suspension shall not affect any rights already accrued by SwapX, including rights of offset, recovery, withholding, investigation, and enforcement.
20. DISCLAIMER
20.1. The Service is provided on an "as is" and "as available" basis.
20.2. To the maximum extent permitted by law, SwapX does not guarantee uninterrupted availability, accuracy, error-free operation, continuous access, or the availability of any specific feature, Item, payment method, balance functionality, or Transaction flow.
21. LIMITATION OF LIABILITY
21.1. To the maximum extent permitted by law, SwapX shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including any loss of profit, revenue, business opportunity, goodwill, or data.
21.2. SwapX shall not be liable for:
- a) inability to use Store Balance;
- b) loss of value of Items;
- c) restrictions, bans, holds, reversals, or decisions imposed by Steam or any other third party;
- d) delayed or refused payouts caused by compliance, fraud, or provider review; or
- e) account compromise caused by the User's acts or omissions.
21.3. To the maximum extent permitted by law, SwapX's total liability in relation to any claim shall not exceed the amount directly paid by the User to SwapX, or directly payable by SwapX to the User, in the specific Transaction giving rise to the claim.
22. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless SwapX, its affiliates, officers, directors, employees, contractors, and agents from and against any claims, liabilities, losses, damages, costs, and expenses, including reasonable legal fees, arising out of or related to:
- a) your breach of these Terms;
- b) your unlawful conduct;
- c) your fraud, chargeback abuse, or misrepresentation;
- d) your use of unauthorized Items or payment methods; or
- e) your violation of third-party rights, rules, or applicable law.
23. GOVERNING LAW AND JURISDICTION
23.1. These Terms shall be governed by and construed in accordance with the laws of Cyprus, without prejudice to any mandatory consumer protections that may apply under applicable law.
23.2. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Cyprus, except to the extent mandatory law provides otherwise.
24. ENTIRE AGREEMENT AND LANGUAGE
24.1. These Terms constitute the entire agreement between you and SwapX regarding the Service and supersede all prior representations, understandings, or agreements relating to the same subject matter.
24.2. In the event of any discrepancy or inconsistency between language versions, the English version shall prevail.
25. AMENDMENTS
25.1. SwapX may amend these Terms from time to time.
25.2. Any updated version shall be made available through the Service and shall become effective on the date specified by SwapX.
25.3. Continued use of the Service after the effective date of amended Terms constitutes acceptance of the amended Terms.
25.4. Where required by applicable law, SwapX will provide advance notice of material changes.
